About Grayscale Bitcoin Trust ETF

Grayscale Bitcoin Trust ETF trades under GBTC and holds bitcoin through a trust structure. Its history begins before the United States spot bitcoin ETF listings of January 2024. Grayscale's product materials distinguish its earlier private placement and public quotation history from its later NYSE Arca listing. That distinction is useful when reading older reports or performance discussions: documents from those periods describe a different trading and redemption environment. The ticker stayed familiar while the way investors could access and trade the product changed over time. [issuer]

Grayscale Investments Sponsors, LLC is the sponsor identified in the trust's recent SEC reports. The trust's objective connects the value of its shares to bitcoin held by the trust, after expenses and other liabilities. The sponsor administers the product through the trust agreement and service providers rather than choosing a changing portfolio of unrelated companies. Shareholders own interests in the trust. They do not receive personal control of its bitcoin keys, and the share is not an obligation of the sponsor to repay a fixed amount. [annual] [quarterly]

GBTC's administrator, custodian and other service providers have defined jobs in the product's operating arrangements. The issuer's factsheet identifies the sponsor, benchmark, administrator and digital asset custodian, while the SEC reports explain those relationships in more detail. These documents also distinguish bitcoin held, shares outstanding and bitcoin attributable to each share. Expenses can reduce the bitcoin represented by a share, so a share count alone does not describe the trust's bitcoin balance. Net asset value and the market price of GBTC are separate figures that can move differently. [factsheet] [annual]

The filings shown here use GBTC's own SEC issuer identity. They should be read separately from documents for Grayscale's Bitcoin Mini Trust ETF or other Grayscale products, which have their own structures and identifiers. Annual and quarterly reports provide dated financial information; a current report or prospectus supplement can explain a later change without rewriting the earlier report. Historical figures therefore need their original period labels. Grayscale's disclosure materials also explain that this bitcoin trust is not an investment company registered under the Investment Company Act of 1940 and involves substantial bitcoin market and operational risks. [annual] [factsheet]
